By accessing and/or using the Site or the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service (the "Terms") and our Privacy Policy (collectively, the "Agreement"). If you do not agree to any of these Terms, you may not access or use the Site or the Services.

If you accept or agree to this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement, and "you" and "your" will refer and apply to that entity.

We may change these Terms from time to time, with or without notice. Any modification will be posted on the Site and/or Platform. By continuing to access or use the Services after such modifications are posted, you agree to be bound by the updated Terms.

Subject to these Terms, Velo Lab grants you a limited, non-exclusive, non-transferable right to access and use the Platform for your personal or internal research purposes only.

You agree not to:

• Reverse engineer, disassemble, or decompile any part of the Platform.
• Modify, copy, sell, or sublicense the Platform or any portion thereof.
• Use the Platform to build a competing product or service.
• Introduce malware, harmful code, or circumvent our security measures.
• Use automated scripts or scraping tools to extract data.

Velo Lab may suspend or terminate your access at any time if you violate these restrictions.

3. USE OF PERSONAL INFORMATION

Your use of the Site and the Services may involve the transmission of personal information. Our collection and use of such data are governed by our Privacy Policy, which is incorporated into these Terms by reference.

4. ACCOUNT AND SECURITY

When creating an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to immediately notify us of any unauthorized access or suspected breach of your account. Velo Lab is not responsible for any loss arising from unauthorized use of your credentials.

5. INTELLECTUAL PROPERTY

All software, text, graphics, interfaces, and other materials provided by or on behalf of Velo Lab are owned by Velo Lab or its licensors ("Velo Lab Content") and protected by international copyright and intellectual property laws.

You retain all rights in your own data, model configurations, and outputs you generate through the Platform (collectively, "User Models"). However, by using the Platform, you grant Velo Lab a perpetual, worldwide, royalty-free license to use anonymized or aggregated data from your User Models to improve its products and services.

Except as expressly authorized by these Terms, you may not reproduce, distribute, or publicly display any part of the Velo Lab Content.

6. USER CONDUCT

By using the Platform, you agree to:

• Use the Platform only for lawful research and educational purposes.
• Not upload or share any content that is illegal, harmful, or infringes others' rights.
• Not impersonate any individual or misrepresent your identity.
• Not interfere with other users' access or the proper functioning of the Platform.

Velo Lab reserves the right to remove or restrict access to any account that violates these Terms.

7. FEEDBACK

We welcome feedback, comments, and suggestions ("Feedback"). You acknowledge that any Feedback you provide may be used by Velo Lab to improve or develop products and services without compensation or obligation to you.

8. NO INVESTMENT ADVICE

Velo Lab is a research and backtesting tool. It does not provide investment advice, trading signals, or brokerage services. All information and model outputs on the Platform are for educational and research purposes only. Past performance does not guarantee future results.

You are solely responsible for any investment or trading decisions you make based on your own judgment.

9. NO WARRANTIES; LIMITATION OF LIABILITY

The Site, Platform, and Services are provided "as is" and "as available." Velo Lab makes no representations or warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Velo Lab does not guarantee the accuracy or reliability of any data, models, or analytics provided.

10. THIRD-PARTY CONTENT AND LINKS

The Platform may contain links or integrations with third-party websites or data providers. Velo Lab is not responsible for any content, services, or practices of those third parties. Your use of any third-party services is at your own risk.

11. INDEMNIFICATION

You agree to indemnify and hold harmless Velo Lab, its directors, officers, employees, and agents from any claim, liability, or expense arising from your use of the Site or Platform, your breach of these Terms, or your violation of any applicable law.

12. COMPLIANCE WITH LAWS

You agree to comply with all applicable laws and regulations when using the Site or Platform, including those relating to data protection and financial research.

13. TERMINATION

Velo Lab may suspend or terminate your access at any time for any reason, including breach of these Terms. Upon termination, all rights granted under this Agreement will immediately cease.

14. ARBITRATION AND GOVERNING LAW

Any dispute arising from these Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

Any dispute shall be resolved through binding arbitration in Toronto, Ontario, administered by the ADR Institute of Canada. Each party shall bear its own costs.

15. CLASS ACTION WAIVER

All claims must be brought in your individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding.

16. EQUITABLE RELIEF

You acknowledge that any breach of Velo Lab's intellectual property rights may cause irreparable harm and entitle Velo Lab to injunctive or equitable relief.

17. MISCELLANEOUS

• These Terms constitute the entire agreement between you and Velo Lab.
• Our failure to enforce any provision shall not constitute a waiver.
• If any provision is held unenforceable, the remaining provisions will remain in full force.
• This Agreement will insure to the benefit of Velo Lab, its successors, and assigns.
